The Firm's attorneys have represented lenders advancing senior,
mezzanine and subordinated debt and bridge financing in connection
with leveraged buyouts, management buyouts, equity refinancings
and other stock and asset acquisitions. Since the lender's
agreement to provide financing is dependent upon the terms
of the underlying acquisition transaction, this form of lending
requires a thorough understanding and review of the underlying
transaction. The Firm has a particular focus in the area of
asset based lending, in which it actively represents lenders
from a wide geographic area. Firm attorneys have also handled
transactions involving various types of credit enhancement.
Commercial
and Industrial Loans. These loans are often the core
loan product of a commercial bank. They range from simple
unsecured term loans to project financings designed to raise
working capital for a company.

secured lending, including the taking of liens against almost
every form of real and personal property. The Firm also has
extensive experience in the areas of real estate secured loans
when securing loans with real estate collateral.
